参考答案:(1)房地产转让时,房屋的所有权及土地使用权同时转让。房地产转让的基本特征是权属的转移。它要求的是房地产权属的全部转移,而不是房地产权属的分别转让。反之,如果允许房屋所有权和该房屋占用范围内的土地使用权分别转让,那么,势必产生取得房屋所有权的当事人并没有取得该房屋占刚范围内的土地使用权,或者取得土地使用权的当事人并没有取得该土地范围内的房屋所有权的情况。这样,单独取得房屋所有权或者单独取得土地使用权,也就没有什么实际意义了。
(2)房地产抵押时,房屋的所有权及土地使用权同时抵押。由于抵押权的实现方式主要是抵押人通过拍卖抵押物取得价款来受偿的,所以实际上涉及房地产的买卖问题。如果在房地产抵押时只抵押房屋所有权,或者只抵押土地使用权,那么,最后拍卖的也只是房屋所有权或者土地使用权,这样,对于通过拍卖活动取得房地产的权利人来说,也只是取得房屋所有权或者土地使用权,或者在取得土地使用权的同时,取得该土地使用权范围的土地上的房屋所有权,这对于通过拍卖活动取得房地产的权利人来说,是没有什么实际意义的。因此,《城市房地产管理法》规定,房地产抵押时,房屋的所有权和该房屋占用范围内的土地使用权必须同时抵押。总之,由于房与地的特殊关系,要使用房屋,就必然要使用该房屋占用范围内的土地:而要使用房屋占用范围内的土地,也必然要使用该房屋。无论是在房地产转让时,还是在房地产抵押时,都必须坚持上述的一般原则。
