Darren, Shaun and Terrance are close friends. They formed a company, DST Pte Ltd, to produce computer games, five years ago. All three of them are shareholders and directors and play active roles in the day-to-day management of the company. Recently however, Terrance has become frustrated with what he sees as the growing lack of commitment on the part of Darren and Shaun. He began to question recent expenditures made by Darren and Shaun, in particular, unnecessary overseas travel and the payment of high directors’ fees. Darren and Shaun resented Terrance’s interference and held a members’ meeting.
